TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAMPPOST, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO LAMPPOST IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY OR (B) $100.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless LampPost, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
If you have a dispute with us, you agree to first contact us directly and attempt to resolve the dispute informally.
If the dispute cannot be resolved informally, you and LampPost agree to resolve any disputes through binding arbitration in Victoria, British Columbia, Canada, in accordance with the rules of the Canadian Arbitration Association.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property, unauthorized access, or violation of applicable laws.
YOU AND LAMPPOST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
You may terminate your account at any time by following the instructions on our Services or by contacting us.
We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without your consent.
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government actions, labor disputes, or power failures.

By purchasing or otherwise confirming an advertising placement with Lamppost (including but not limited to our newsletter, website, or other promotional channels), you agree to the following terms:
Lamppost will make every effort to run your advertisement in the position, format, and timeframe discussed.
However, Lamppost reserves the right to adjust scheduling, layout, or placement (for example, to accommodate technical issues or urgent content) without notice, provided that the total value of the placement remains substantially the same.
All advertising payments are non-refundable once the placement has been confirmed and invoiced.
This includes cases of lower-than-expected performance, campaign cancellation by the advertiser, or other outcomes not directly caused by Lamppost's failure to deliver the ad placement itself.
Advertisers are solely responsible for the accuracy, legality, and appropriateness of all submitted content.
Lamppost reserves the right to reject, remove, or request edits to any advertisement that, in our sole discretion, may be misleading, inappropriate, or inconsistent with our community standards — without obligation to provide a refund.
In no event will Lamppost, its directors, or affiliates be liable for any indirect, incidental, or consequential damages arising out of an advertising placement.
Lamppost's total liability, if any, shall not exceed the total amount paid by the advertiser for the specific placement in question.
By submitting payment or confirming an advertising placement with Lamppost, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
